The second EGM to approve the Conversion from a Society to a CLG and to ratify the Memorandum and Articles of Association (Constitution) was held online on Friday 27 March at 7pm.
30 members were in attendance online plus a total of 7 proxy votes.
A total of 37 confirmatory votes were received (which included proxy votes) unanimously in favour of the Conversion and ratification of the Constitution.
We will have now resolved that the Irish Horse Trials Society Limited (Registered No. 2486R) will convert from an industrial and provident society to a company limited by guarantee to be named Eventing Ireland Horse Trials Company Limited by Guarantee not having a share capital to be registered under the Companies Act 2014, and that the entirety of the Society’s property, assets, liabilities and obligations be transferred to that company, and after further approving and adopting the memorandum and articles of association of the said company, be and is hereby confirmed.
